Terms of Service

Effective Date: March 15, 2026

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and BizPilot LLC ("BizPilot," "we," "us," or "our"), a Tennessee limited liability company, governing your access to and use of the BizPilot website, mobile applications, and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into contracts to use the Service. By using the Service, you represent and warrant that you meet these requirements and that you will use the Service only for lawful business purposes.

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your information to keep it accurate and current
  • Maintain the security of your password and account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access to your account

We reserve the right to suspend or terminate accounts that we believe violate these Terms or contain false information.

4. Subscription and Payment

4.1 Subscription Plans

BizPilot offers various subscription plans as described on our pricing page. Features and limitations vary by plan. We reserve the right to modify plans and pricing with 30 days' notice to existing subscribers.

4.2 Billing

By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis (monthly or annually, depending on your selection). All fees are stated in U.S. dollars and are non-refundable except as expressly provided herein.

4.3 Free Trial

We may offer free trials. At the end of your trial, you will be automatically enrolled in the plan you selected unless you cancel before the trial ends. You will be charged the applicable subscription fee at that time.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until that date. We do not provide prorated refunds for partial billing periods.

4.5 Taxes

You are responsible for any applicable taxes. If we are required to collect taxes, they will be added to your charges.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Send spam, unsolicited messages, or engage in phishing
  • Transmit malware, viruses, or other harmful code
  • Attempt to gain unauthorized access to the Service or other accounts
  • Interfere with or disrupt the Service or servers
  • Scrape, data mine, or use automated tools without authorization
  • Impersonate another person or entity
  • Use the Service for any illegal, harmful, or fraudulent purpose
  • Resell or sublicense the Service without authorization

We may suspend or terminate your access for violation of these acceptable use policies.

6. Data Ownership and Rights

6.1 Your Data

You retain all rights to the data you upload, input, or create using the Service ("Your Data"). This includes client information, booking records, messages, and business content.

6.2 License to BizPilot

You grant BizPilot a limited, non-exclusive license to use, process, and store Your Data solely to provide and improve the Service. This license ends when you delete Your Data or terminate your account.

6.3 Data Portability

You may export Your Data at any time through the Service. Upon account termination, you will have 30 days to export Your Data before it is permanently deleted.

6.4 Aggregated Data

We may use anonymized, aggregated data derived from Your Data to analyze trends, improve the Service, and for other legitimate business purposes. Such aggregated data will not identify you or your clients.

7. Intellectual Property

The Service, including its original content, features, functionality, design, and code, is owned by BizPilot and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

"BizPilot" and our logo are trademarks of BizPilot LLC. You may not use them without our prior written consent.

8. Third-Party Services

The Service integrates with third-party services (e.g., Stripe, Twilio, Google). Your use of these integrations is subject to the terms and policies of those third parties. We are not responsible for the availability, accuracy, or practices of third-party services.

9. AI Agent

Our AI agent feature automates customer interactions on your behalf. You acknowledge that:

  • The AI agent operates based on the information you provide
  • You are responsible for reviewing and correcting AI-generated content and bookings
  • The AI may occasionally make errors or misunderstand customer requests
  • You should inform customers that they may be interacting with an AI

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR INFORMATION OBTAINED THROUGH THE SERVICE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL BIZPILOT, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless BizPilot and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another party.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination:

  • Your right to use the Service will immediately cease
  • You may export Your Data within 30 days
  • After 30 days, Your Data will be permanently deleted
  • Sections that by their nature should survive termination will survive

14. Social Media Integration Terms

By connecting your social media accounts (Facebook, Instagram, X/Twitter), you authorize BizPilot to post content, read analytics, and manage your social media presence on your behalf. You acknowledge that:

  • You are solely responsible for ensuring all content posted through BizPilot complies with applicable laws, platform terms of service, and advertising regulations
  • BizPilot is not liable for any content posted to your social media accounts
  • You may revoke BizPilot's access to your social accounts at any time through your account settings or the respective platform's settings
  • Social media platforms may change their APIs or terms, which may affect BizPilot's ability to provide social media features

15. Account Deletion

You may delete your account and all associated data at any time through your account settings. Upon initiating account deletion:

  • All your data, including tenant information, client records, bookings, and integrations, will be permanently deleted
  • We recommend exporting your data before deletion — you have a 30-day export window prior to any scheduled deletion
  • Certain data may be retained in anonymized audit logs as required by law or for fraud prevention
  • Account deletion is immediate and irreversible
  • A confirmation email will be sent to your registered email address

16. API Usage and Fair Use

Use of BizPilot's API and automated features is subject to rate limits and fair use policies:

  • API requests are rate-limited per endpoint to ensure service quality for all users
  • Automated access (bots, scrapers, scripts) is prohibited without prior written authorization
  • Excessive usage that degrades service for other users may result in throttling or suspension
  • Rate limits vary by subscription plan and endpoint

17. Dispute Resolution and Arbitration

17.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at legal@bizpilot.dev and attempt to resolve the dispute informally for at least 30 days.

17.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that exceeds $500 and cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in Nashville, Tennessee.

17.3 Small Claims Exception

Either party may bring qualifying claims in small claims court in Davidson County, Tennessee, as an alternative to arbitration.

17.4 Class Action Waiver

YOU AND BIZPILOT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and BizPilot agree otherwise, the arbitrator may not consolidate or join more than one person's or party's claims.

18. Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to its conflict of laws principles. Subject to Section 17 (Arbitration), any dispute arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Davidson County, Tennessee, and you consent to the personal jurisdiction of such courts.

19. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

20. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and BizPilot regarding the Service.

Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
